FAQ

Common Questions

For Malaysian citizens and permanent residents

How long does incorporation take?
For Malaysians, the typical timeline is 3-5 business days from document submission. Name approval usually takes 1 day, and SSM registration takes 1-3 days.
Can I be the sole director and shareholder?
Yes! Under the Companies Act 2016, a Malaysian can be both the sole director and sole shareholder. You don't need a partner to start a Sdn Bhd.
What's the minimum capital required?
Legally, just RM 1. However, we recommend RM 100-1,000 for credibility. You can increase your capital anytime as your business grows.
Do I need a physical office?
You need a registered address in Malaysia, but it doesn't have to be your operating office. We provide registered address services in our Business and Complete packages.
What's the difference between Enterprise and Sdn Bhd?
Enterprise (sole proprietorship) has unlimited liability — your personal assets are at risk. Sdn Bhd has limited liability, is a separate legal entity, and has better access to loans and tax incentives.
What happens after incorporation?
We help you open a corporate bank account, set up your compliance calendar, and provide ongoing company secretary services. You're required to file annual returns and maintain proper records.

FAQ

Questions from Foreign Investors

Everything you need to know about incorporating as a foreigner

Can I be the sole owner of a Malaysian company?
Yes, foreigners can own 100% of a Sdn Bhd in most sectors. However, you'll still need a local resident director (we provide this service). Some sectors like retail/wholesale require a local partner.
What is a resident director and how much does it cost?
A resident director is someone who ordinarily resides in Malaysia (citizen or with valid long-term visa). Malaysian law requires at least one resident director. We offer this as an add-on service: RM 1,000 setup fee + RM 500/month ongoing.
Can I complete incorporation remotely without visiting Malaysia?
Yes, incorporation can be completed entirely remotely. However, some banks may require in-person visit to open a corporate account. We can advise on banks with more flexible requirements.
How much capital do I need for a work visa?
For Employment Pass, foreign-owned companies need minimum RM 500,000 paid-up capital. For WRT license (retail/wholesale), RM 1,000,000 is required. If you have a 51% local partner, capital requirements are lower.
How long does incorporation take for foreigners?
Typically 5-7 business days after all documents are received. Name approval takes 1-2 days, and SSM registration takes 3-5 days. Document preparation may add a few days depending on your responsiveness.
What if I want to hire employees in Malaysia?
Your Sdn Bhd can hire both local and foreign employees. Hiring foreign workers requires Expatriate Services Division (ESD) approval and meeting minimum capital requirements. We can guide you through this process.
