Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Amjad & Hazli ("we", "us", or "our"), governing your access to and use of our accounting, tax, and financial advisory services.
By engaging our services or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
Services
Amjad & Hazli provides professional accounting and financial services, including but not limited to:
- Bookkeeping and financial record maintenance
- Tax compliance and advisory services
- Management accounts and financial reporting
- CFO advisory and strategic financial planning
- Audit preparation and support
- Company secretarial services
- Business registration and incorporation assistance
The specific scope of services will be outlined in a separate engagement letter or service agreement provided to you upon commencement of our professional relationship.
Professional Standards
Our services are provided in accordance with:
- Malaysian Financial Reporting Standards (MFRS)
- By-Laws of the Malaysian Institute of Accountants (MIA)
- Applicable Malaysian tax laws and regulations
- Professional ethics and standards governing chartered accountants
We are licensed members of the Malaysian Institute of Accountants (MIA) and maintain professional indemnity insurance as required by our regulatory body.
Client Responsibilities
As our client, you agree to:
- Provide Accurate Information: Supply complete, accurate, and timely information, documents, and records necessary for us to perform our services
- Maintain Records: Keep proper books and records in accordance with applicable laws and regulations
- Review and Approve: Review all work products, reports, and filings we prepare on your behalf and notify us of any errors or discrepancies
- Timely Communication: Respond to our queries and requests for information within reasonable timeframes
- Legal Compliance: Ensure that your business operations comply with all applicable laws and regulations
- Payment: Pay for our services in accordance with the agreed fee structure and payment terms
Fees and Payment
Fee Structure
Our fees are based on the scope and complexity of services provided, as outlined in your engagement letter. Fees may be structured as:
- Fixed monthly retainer fees
- Project-based fees
- Hourly rates for ad-hoc services
Payment Terms
Unless otherwise agreed in writing:
- Invoices are issued monthly and are due within 14 days of the invoice date
- Late payments may incur interest at the rate of 1.5% per month
- We reserve the right to suspend services if payment is overdue by more than 30 days
Additional Charges
Additional fees may apply for:
- Services beyond the agreed scope of engagement
- Urgent or rush requests requiring expedited processing
- Disbursements such as filing fees, courier charges, and travel expenses
Confidentiality
We are bound by professional confidentiality obligations. We will:
- Keep all client information strictly confidential
- Not disclose client information to third parties without your consent, except as required by law or professional regulations
- Implement appropriate security measures to protect client data
- Ensure that our staff and any subcontractors are bound by confidentiality obligations
Our confidentiality obligations survive the termination of our engagement.
Limitation of Liability
To the maximum extent permitted by law:
- Our liability for any claim arising from our services shall be limited to the fees paid for the specific service giving rise to the claim
- We shall not be liable for any indirect, consequential, incidental, or punitive damages
- We are not responsible for losses arising from your failure to provide accurate and complete information
- We are not responsible for decisions made by you based on our advice or work products
Nothing in these Terms excludes or limits our liability for fraud, gross negligence, or any liability that cannot be excluded by law.
Intellectual Property
All methodologies, templates, systems, and tools developed by us remain our intellectual property. Upon full payment, you will receive a license to use deliverables and work products prepared specifically for you in connection with your business operations.
Data Protection
We process personal data in accordance with the Personal Data Protection Act 2010 (PDPA) of Malaysia and our Privacy Policy. By engaging our services, you consent to the collection and processing of personal data as described in our Privacy Policy.
Termination
Termination by Either Party
Either party may terminate the engagement by providing 30 days written notice to the other party.
Immediate Termination
We may terminate the engagement immediately if:
- You fail to pay outstanding fees after reasonable notice
- You provide false or misleading information
- Continuing the engagement would cause us to breach professional or legal obligations
- There is a breakdown in the professional relationship
Effect of Termination
Upon termination:
- All outstanding fees become immediately due and payable
- We will provide you with all documents and records belonging to you
- We may retain copies of working papers and documents as required by professional standards
Dispute Resolution
Any dispute arising from these Terms or our services shall be:
- First, attempted to be resolved through good faith negotiation between the parties
- If unresolved within 30 days, referred to mediation under the Malaysian Mediation Centre
- If mediation fails, submitted to the exclusive jurisdiction of the courts of Malaysia
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any legal action or proceedings shall be brought exclusively in the courts of Malaysia.
Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with any engagement letter and our Privacy Policy, constitute the entire agreement between you and Amjad & Hazli regarding our services and supersede all prior agreements and understandings.
